The General Counsel’s department (GCD) provides expert, client-centered, legal, strategic and risk management advice to the Commission based on sound legal and reputational risk analysis. In addition, the GCD administers the enforcement of monetary sanctions and the distribution to directly harmed investors of disgorged amounts obtained by the OSC. The Enforcement of Monetary Sanctions and Distribution Unit within the General Counsel’s department is recruiting for a Law Clerk who will administer the monetary sanctions and distributions program. Using your experience working on collections, receivership, bankruptcy or class action files, you will work closely with key stakeholders to enforce monetary sanctions and coordinate activities to ensure disgorged funds are redistributed to directly harmed investors. Track the enforcement of monetary sanction matters by coordinating with internal and external counsel and the Enforcement division. Assist with referrals, motion materials, reports, court documents, demand letters, writs and proof of claims. Summarize relevant sanction financial information, coordinate search requests, make filings, review bankruptcy records and reconcile payments. Maintain and update disgorgement distribution case files by tracking relevant information, monitoring parallel proceedings in Ontario or other jurisdictions and document final recommendations or decisions. Assist with quarterly recommendations to distribute, hold or pay disgorged funds. Coordinate activities with internal stakeholders which support the process for distribution carried out by both court-appointed administrators as well as those issued directly by the OSC. The activities include confirming disgorgement amounts, preparing notices of distribution, organizing claim packages, issuing decision letters, maintaining records and issuing final reports. Maintain a roster of court-appointed administrators with adherence to procurement policies. Work with litigation counsel and the Contact Centre on responses to investor inquiries related to disgorgement of funds. What do you need to be successful in this role? Completion of a two-year Law Clerk Program in a Community College required. Member in good standing with the Institute of Law Clerks of Ontario (ILCO). Five years' experience with a law office, government agency or other entity in a capacity or function which involves the performance of duties of an administrative or managerial nature under the guidance of a lawyer. Knowledge of the securities industry. General knowledge of the Securities Act, the Securities Commission Act, 2021, and the Bankruptcy and Insolvency Act. Previous experience working on collections, receiverships, bankruptcies, claims administration would be an asset. Highly developed analytical skills.
