About this Position We are looking for a Senior Legal Counsel to join our Legal Department. Responsibilities and Qualifications Responsibilities: Providing legal advice and conducting research related to life insurance and mutual fund legal/regulatory issues, commercial issues, litigation, employment issues, privacy matters, and such other matters that the Legal Department advises on. Reviewing drafts and negotiating legal obligations under corporate and commercial agreements in line with corporate objectives Providing legal advice and conducting reviews of advertising and promotional material before distribution to the Canadian sales force or the public to assure compliance with applicable regulatory requirements Providing support to all senior officers for transactional work, analysis of documentation and integration of legislative and regulatory initiatives and changes Assist with Corporate Governance, including the administration / conduct of Board and Committee meetings Drafting policies and mandates Assisting and supporting with the preparation of filings with financial institution regulators, industry associations, government agencies or securities commissions in jurisdictions across Canada Assisting with responses to regulatory audits and corresponding remediation plans Other duties as assigned Qualifications: Appropriate legal designation in Canada (LSO preferred) One to three years’ experience working in financial services; experience with mutual fund manager, dealer or life insurance company preferred Knowledge/experience in legislative and corporate compliance management Excellent written and verbal communication skills Self-starter with the ability to take initiative and think outside the box, ability to prioritize, strong attention to detail and to work under short timelines Sound understanding of the operation of a financial services organization, excellent business judgment and ability to evaluate the impact of regulatory requirements on the companies’ business model and to find practical solutions to business and regulatory challenges; and Must be proficient in MS Office (Word, Excel, PowerPoint) This position has a wide range of duties that will be assigned to greater or lesser degree depending upon the skill set, experience and performance of the successful candidate.
