✅ What You’ll Do
Corporate & Transactional Structuring: Support the design and execution of MSOs, trusts, equity models, and acquisition structures with clear, compliant legal frameworks
Regulatory & Compliance Oversight: Ensure compliance with healthcare regulations (CPOM, Stark, Anti-Kickback), employment law, and other federal and state requirements
Contracting & Legal Infrastructure: Draft, review, and negotiate contracts across MSAs, employment, leases, financing, and vendors; build standardized templates for scale
Risk Management & Issue Spotting: Identify legal risks early and design mitigation strategies without slowing down the business
Cross-Functional Business Support: Act as a partner to leadership, product, partnerships, and enablement teams - providing guidance that is practical, timely, and business-aligned
Governance & Entity Management: Maintain clean, auditable records across Meroka’s entity structure; oversee corporate governance and support board documentation
🧠 We’re Looking For Someone Who…
Has deep knowledge of healthcare and regulatory law (CPOM, scope-of-practice, HIPAA, ownership models)
Brings business-first judgment - able to balance growth with compliance and risk management
Is skilled at drafting, interpreting, and negotiating complex agreements with clarity and commercial pragmatism
Understands multi-entity corporate structures, trusts, and MSOs
Can translate legal concepts into plain language for non-lawyers and keep stakeholders aligned on risk, rights, and responsibilities
Spots risks early, builds safeguards into systems and documents, and supports scalable internal policies that reduce exposure over time

🌍 Additional Notes
This role will require occasional travel to the USA and Canada for on-site campaigns, team collaboration, and brand activations. All travel will be coordinated and supported by the Meroka team.
