Leading an in-house team of 7 Lawyers, Clerks and Administrators, and drawing on deep Corporate/securities and intellectual property rights experience, this role is a key member of the executive team, guiding the Company in all legal matters.
What you'll do:
Strategic Mandate
As the leader and key advocate for this functional group you will serve as the principal legal advisor to the executive team and Board of Directors, overseeing all legal matters including litigation and regulatory compliance.
Develop, build and grow a best-in-class internal legal team that in concert with external counsel delivers high-quality, cost-effective legal services to the organization in respect of a broad range of disparate legal requirements across the organization.
Lead legal strategy for complex corporate transactions including mergers, acquisitions, and recapitalizations or key strategic files, such as material litigation.
Collaborate with functional leaders and provide strategic, commercially minded legal advice as well as guidance on risk assessment, risk tolerance scenarios and positions on key legal issues, for instance, through playbooks, checklists and/or templates.
Oversee all securities filings including SEDAR, SEDI, and material change reports.
Ensure compliance with TSX and OSC regulations, maintain up-to-date governance policies and advise on shareholder communications and engagement.
Board management including committee meetings, director onboarding, education and annual evaluations, agenda development, materials preparation, and in-camera sessions. Additionally, you will maintain governance frameworks, ensure alignment with regulatory expectations and provide guidance on director independence, fiduciary duties and shareholder rights.
Oversee strategic governance, including monitoring legislative developments (e.g., Modern Slavery Act, AIDA) and integrate compliance into corporate governance.
Leadership Mandate
Foster a collaborative, results-oriented performance culture, rooted in cost-effective legal advice that manages risk while maximizing efficiencies in servicing the business.
Coach team members to develop and implement strategies, and metrics to maximize efficiencies, deliver advice that reflects the best possible path for the business, considering the interdependencies and the transformation mandate the Company is working within.
Build strong cross-functional relationships within the organization to leverage support and expertise to expedite work and implement strong governance and compliance muscle, working cross-functionally to ensure the agility of the business.
Build a metrics-driven evaluation process that combines key performance indicators with key quality measures to assess team performance and provide growth opportunities for leaders and team members.
Coach and develop a robust leadership succession plan within the team that complements and enhances the skills of the existing teams.
Invest in ongoing development and enhancement of skills and knowledge for the teams by staying informed about industry trends, competitor activities, and emerging technologies and leveraging same.
Who you are:
You can demonstrate successes as a senior legal executive or a General Counsel in a publicly traded company and are a member in good standing of a Canadian law society.
An experienced corporate secretary, you have demonstrable skills in managing a Board and leading and guiding the senior leadership team in executing effectively on their Board reporting responsibilities.
Ideally you possess deep experience demonstrated through progressively responsible positions in securities, commercial and intellectual property law, corporate governance, commercial and board operations.
Strategic and analytical, you understand the importance of data in driving the right outcomes and leverage that data mindset with your teams in driving success in initiatives you implement. You have, and nurture in others, an innovation mindset to create, launch and optimize new initiatives and/or strategies and to pivot quickly if they are not succeeding.
Collaborative and inspirational as a leader, you thrive on building and developing nimble, cohesive teams that can deliver on the strategic objectives in a disrupted industry. You recognize the importance of a strong, talented and experienced team to the success of the division and build to those strengths for now and in the future.
A skilled negotiator, you are equally comfortable negotiating all aspects of the business and managing through crises, making real-time decisions in tough situations while exhibiting grace under pressure when responding to and dealing with urgent situations.
An excellent team player, equally confident making and executing on real-time decisions in tough situations you leverage outstanding communication skills to partner with other senior leaders at the table to influence and drive consensus across an organization, from senior executives to individual contributors.
