The Opportunity South Bow’s Legal team is an integral part of South Bow, working collaboratively with other members of the broader business team to achieve the company’s goals while understanding and mitigating business and legal risks. We are seeking an adaptable and development-oriented Legal Counsel with a strong background in corporate commercial law. The ideal candidate will demonstrate a keen interest in deepening their knowledge of the midstream oil industry and developing specialized expertise in the legal matters essential to supporting South Bow’s business development, commercial, and operational initiatives. The successful candidate will have the opportunity to collaborate with and learn from experienced members of our legal team. In addition, they will be expected to proactively broaden their industry knowledge and enhance their legal expertise, thereby contributing to South Bow’s continued success. What you’ll do • Collaborate with Senior Legal Team Members to provide commercial legal support for: o The development and marketing of capacity on new and existing midstream oil pipelines and related facilities. o All phases of midstream oil infrastructure projects, including development, acquisitions, and divestitures. o Various commercial initiatives and operational matters relating to existing assets and new business opportunities. • Provide Legal Counsel on matters including: o Open season processes o Pipeline transportation services agreements (and related tariffs) o Tank services agreements o Confidentiality agreements o Memorandums of understanding o Joint venture agreements o Partnership agreements o Shareholder and operating agreements o Purchase and sale agreements o Amending agreements o Financial assurances • Support Additional Legal Tasks as required, in alignment with South Bow’s evolving business needs. Minimum Qualifications • Law degree from a Canadian law school • Minimum of 6 years of comprehensive legal experience • Membership, or eligibility for membership, with the Alberta Bar • Demonstrated expertise in corporate/commercial law, including strong drafting and negotiation skills • Highly organized and capable of supporting diverse client groups and business functions • Proficient in managing and completing complex tasks within tight deadlines • Effective communication and advocacy skills, both oral and written • Ability to work effectively both independently and within a collaborative team environment Preferred Qualifications • Knowledge of the midstream oil industry, including the applicable North American regulatory framework • Prior commercial legal experience in the energy sector About our business South Bow's existing oil & liquids pipeline infrastructure connects Alberta crude oil supplies to U.S. refining markets in Illinois, Oklahoma, Texas and the U.S. Gulf Coast.
