Position Summary
We are seeking a motivated and detail-oriented Junior Law Clerk to join our team. In this role, you will provide legal and administrative support for corporate, capital markets and real estate law matters, gaining valuable hands-on experience in both areas while working within a tight knit and collaborative legal team consisting of lawyers and senior law clerks.
Key Responsibilities
- Assist global in-house counsel team and external counsel on the maintenance of corporate records and minute books for entities in North America and certain international jurisdictions using Diligent Entities management software. Opportunities to participate with Diligent process improvements in future projects.
- Assist with upload of corporate records and updates to entity management database (Diligent).
- Provide second-hand assistance with periodic KYC requests, including for legal records and individual identification.
- Assist with legal filings including annual meetings or resolutions, periodic corporate filings, with eventual opportunities to support with transactions, corporate reorganizations, corporate diligence activities and documenting acquisition/disposition and funds flows and intercompany loans.
- Assist with legal filings, reports and documentation for real estate transactions, with possible opportunities to support due diligence and leasing activities.
- Assist with legal aspects of annual and quarterly public company filings and compliance reporting and maintenance of regulatory calendars.
- Prepare corporate structure charts representing updated corporate ownership information and assist with preparation of structure charts to represent results of proposed transaction scenarios.
- Provide additional legal and administrative support as required by the legal team.
Knowledge, Skills and Experience
Required Qualifications:
- Law Clerk Diploma/Certificate or equivalent.
- 1-3 years' experience as a corporate law clerk in a law firm or legal department.
- Interest in and/or some familiarity with corporate, debt finance and real estate transactions.
- Superior computer skills, including but not limited to Microsoft Office, Outlook, and entity management databases.
- Superior administrative, organizational and time management skills.
- Ability to proactively spot issues and manage relationships with multiple stakeholders, including internal and external legal counsel.
- Pragmatic approach to problem solving and high level of attention to detail.
Preferred Qualifications:
- Experience with public companies is an asset.
- Experience with real estate, leasing and/or commercial lending is an asset.
- Exposure to or familiarity with commercial real estate transactions and group corporate structures is considered an asset.
