About the RoleThe Corporate Law Clerk will be a vital member of the corporate legal team, working closely with company counsel, the corporate secretary, and fellow law clerks. Responsibilities include managing corporate records, preparing documents for entity formation and dissolution, filing annual returns, and drafting minutes and resolutions. The role also involves handling securities and corporate governance matters for public companies within the firm's Global Manager Group.
This position offers a dynamic and fast-paced work environment with ample opportunities for growth. This position requires the candidate to be on-site 4 days a week in Downtown Toronto office. What
You'll Need to SucceedDiploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario (or qualifying legal experience with an outstanding performance record)2-5 years of experience as a corporate law clerk, preferably in a law firm or in-house legal department of a large public company
Proficiency with SEDI, SEDAR, EDGAR, and TSX filings
Familiarity with various Canadian and provincial corporate registry online and paper filings and searches, as well as U.S. Secretary of State business entity searches and filings
Professionalism and accountability for providing timely and accurate responses to inquiries from internal and external stakeholders
Ability to work well under pressure, manage multiple tasks, and take ownership in supporting the team
Excellent interpersonal skills and ability to work independently with minimal supervision, as well as collaboratively within a group
Strong communication (verbal and written) and organizational skills
Proficiency in MS Word, Excel, PowerPoint, Visio, i
Manage, and corporate legal records software/database
