Overall Responsibilities
The Corporate Paralegal will provide legal and administrative support to our Counsel. The Corporate Paralegal will play a key role in managing corporate governance, preparing legal documents, maintaining compliance with regulatory requirements, and assisting with various transactional and litigation matters. This role requires exceptional organizational skills, legal knowledge, and the ability to work in a fast-paced corporate environment.
Specific Key Responsibilities \& Duties
- Maintain corporate records, including minute books, bylaws, and organizational documents for the company and its subsidiaries.
- Assist in preparing and filing annual reports, corporate resolutions, and other compliance documents.
- Manage and track corporate filings, licenses, and registrations to ensure compliance with local, state, and federal regulations.
- Support board and shareholder meetings by preparing agendas, resolutions, and minutes.
- Draft, review, and manage various contracts, including NDAs, vendor agreements, and employment-related documents, etc.
- Maintain the legal document management system, ensuring timely organization, filing, and retrieval of records, including tracking key terms and deadlines.
- Conduct legal research on corporate, employment, intellectual property, and other legal matters as requested.
- Draft legal opinions, memorandums, and correspondence related to legal issues and corporate transactions.
- Assist with litigation support, including gathering and organizing documents for discovery and trial preparation.
- Coordinate with external counsel on various legal matters as needed.
- Assist in monitoring changes in relevant laws and regulations impacting the company.
- Track deadlines, court dates, and other critical timelines for legal projects.
- Provide administrative support, such as drafting correspondence, organizing meetings, and maintaining calendars.
Knowledge, Skills \& Abilities Requirements
- Bachelor's degree or Paralegal Certificate required.
- Minimum 3-5 years of experience as a corporate paralegal, preferably in a law firm or corporate legal department.
- Strong knowledge of corporate law principles, governance, contracts, and regulatory compliance.
- Excellent drafting and proofreading skills with high attention to detail.
- Proficient in legal research tools (e.g., Westlaw, LexisNexis) and document management systems.
- Strong organizational and time-management skills with the ability to manage multiple priorities.
- High level of professionalism, confidentiality, and integrity.
- Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
- Familiarity with legal case management and document review software is a plus.
- Collaborative team player with strong communication skills.
- Self-starter with the ability to work independently and take ownership of tasks.
- Adaptability and flexibility to handle shifting priorities and tight deadlines.
- Ability to obtain results with minimal supervision and work in and create a Team Environment.
