This position will also require bankruptcy, collections and informal dispute resolution work. It may also entail assisting with compliance, office leases, intellectual property matters, employment matters, strategic alliances, mergers and acquisitions, and litigation/disputes, as needed to conduct the business of the department. This role may advise management on various legal issues relating to the business of the Firm. The position also may be designated to manage litigation matters, including insurance notifications and outside counsel management. Responsibilities in this role may include assistance with international growth, risk management and corporate development initiatives. Legal Counsel (Canada) People: Maintains collaborative rapport with Canadian business teams. Client: Reviews, drafts, and negotiates a broad range of general commercial agreements in English and French, including client engagement, vendor, partner, referral, software agreements, NDAs and DPAs. Value: Negotiates contracts and assists in preparing and revising contract templates in English and French. Supports and advises the company regarding compliance policies and procedures. Supports corporate governance and legal entity recordkeeping needs. Provides first line of support to local global shared service providers such as HR, Marketing, Operations with either support or direction from other members of the legal team. Instruct and manage internal litigation reporting and risk reporting and external counsel on assigned files Duties and responsibilities, as they align to Ryan’s Key Results People: Provides legal expertise to other departments where needed. Create associations of trust and respect with key stakeholder. Client: Reviews, revises, and negotiates client engagement agreements and related documents (e.g., confidentiality agreements and nondisclosure agreements). Reviews, revises, and negotiates vendor agreements and related documents (e.g., confidentiality agreements and nondisclosure agreements). Value: Anticipate issues and estimate risks strategically. Evaluate and weigh multiple inputs and impacts of any decision or course of action. Identify proactive solutions that will eliminate or mitigate risks. Supports and assists with various aspects of the Firm’s legal affairs and ensures maximum protection of its legal rights. Manages outside counsel services, particularly in connection with bankruptcy, collections and litigation matters. Meets KPIs established for the Legal Department. Reviews lease agreements, construction contracts, estoppel certificates, and other facility-related and operations support documents. Draft agreements that minimize risks and maximize legal rights. Reviews, revises, negotiates and approves material contracts. Prepares business contracts and administers other legal matters. Interprets laws, rulings, and regulations for the Firm. Assists with client-related bankruptcy issues, including appointment of the Firm as ordinary course professionals. Reviews and negotiates software licenses, development agreements, and other IT-related documents, as needed. Facilitates meetings and negotiations. Reviews outside legal counsel invoices. Assists with other projects as needed. Education and Experience: Juris Doctor Degree (JD) from an accredited law school or equivalent and at least 5 years related experience and/or training in a similar environment; or equivalent combination of education and experience required. Applicable license to practice law required. Computer Skills: To perform this job successfully, an individual should have intermediate knowledge of Microsoft® Word, Excel, PowerPoint, LMS, WebEx, Outlook, and internet navigation/research. Certificates and Licenses: JD Degree from an accredited law school and license to practice law in Canada required. Membership to the American Bar Association and Association of Corporate Council preferred. Valid driver’s license required. Supervisory Responsibilities: This position may share supervisory responsibility over the Paralegal Staff.
