Director of M&A, Homebuilder Solutions Portfolio Position Summary Constellation Software is looking for a Director of M&A for its homebuilding and construction portfolio. This role will work closely with and report to the President of our Homebuilder Solutions Portfolio, manage the portfolio’s acquisition sourcing pipeline, work closely with Perseus’ shared M&A execution team and manage the portfolio’s transactions through the entire M&A lifecycle. Your role will be to source and analyze investment opportunities, and coordinate M&A execution. This role is designed to help you develop an understanding of investing, operating, and growing vertical market software businesses. In this role, you will lead the sourcing and acquisition of businesses into the portfolio. Duties and responsibilities include: Leading the acquisition sourcing team: building out and overseeing business development teams in various geographies, hiring, coaching and managing junior team members, qualifying targets, building relationships with high quality prospects, managing the acquisition pipeline and reporting to the President of the portfolio and the Perseus’ central M&A team. Proposing investments to the Investment Committee: In-depth analysis of companies including building financial models, writing investment memos, presenting findings and addressing questions from members of the investment committee. Leading the M&A execution team from LOI to deal close: Drafting offers, coordinating the financial, legal and technical due diligence teams (both internal and external), negotiating and overseeing the drafting of closing documents, and updating the investment memo and financial models throughout. Education and Experience: 5-7+ years of progressive work experience at a top tier accounting, capital advisory, restructuring, investment banking and/or private equity firm. 3-5 years of mid-market deal experience executing transactions is mandatory. 3-5 years of managing high-performance teams Experience working with small owner-managed businesses as a client/target. Buy-side experience is a plus but not required. CPA, CA, CFA, and/or MBA designations are considered assets. Excellent attention to detail, objective and strategic thinking, and the ability to work in a fast-paced environment, manage multiple priorities, and meet tight deadlines. Strong communication skills (both verbal & written) with an emphasis on relationships and succinct report writing. Advanced Excel and exceptional Financial Modelling skills. Ability to work variable hours and travel when required. Confidence and polish is required for frequent interaction with senior executives, business owners, investment bankers, lawyers, accountants, and other key stakeholders.
