A leading investment fund manager is seeking a Senior Legal Counsel to join its legal team. This role offers the opportunity to work on a broad range of legal and regulatory matters, making a significant impact on the business. Key Responsibilities:
- Lead legal work related to the offering, structuring, and administration of investment fund products.
- Provide regulatory advice on securities registration (investment fund manager, portfolio manager, and exempt market dealer) as well as privacy and information security matters.
- Draft and negotiate commercial contracts, including distribution agreements, master service agreements, software license agreements, and vendor/supplier agreements.
- Support corporate governance, including board and shareholder engagement.
- Develop and implement processes to enhance the efficiency and effectiveness of the legal function.
- Build and maintain strong relationships with internal and external business partners.
Qualifications \& Experience:
- Minimum 6 years' post-call corporate law experience, with at least some experience at a leading law firm.
- Expertise in securities regulation (investment funds and registrant regulation) is an asset.
- J.D. or equivalent and member in good standing with the Law Society of Ontario.
- Strong written and verbal communication skills.
- Excellent interpersonal skills with the ability to work at all levels of the organization.
- Ability to work independently and collaboratively in a fast-paced, in-office environment (5 days per week mid-town Toronto).
- Proactive problem-solver with a strong commitment to delivering high-quality legal services.
