POSITION DESCRIPTION:
We are seeking a highly skilled and business-minded Senior Legal Counsel to join our dynamic team to support our M&A activities and day-to-day operations across multiple portfolio companies. In this pivotal role, you will be responsible for providing strategic legal guidance on a wide range of matters critical to our growth and operations. You will draft, negotiate, and manage complex commercial agreements, including software licensing, SaaS, vendor, and partnership agreements. Your expertise will also be essential in supporting corporate governance, M&A due diligence, and navigating multi-jurisdictional legal issues. The ideal candidate is a pragmatic problem-solver who can distill complex legal concepts into practical, actionable business advice and thrive in a fast-paced, entrepreneurial environment.
KEY RESPONSIBILITIES:
M&A Support
Support all phases of mergers and acquisitions transactions, including due diligence, deal structuring, and closing
Draft and negotiate purchase agreements, asset purchase agreements, and related transaction documents
Coordinate with external counsel on complex transactions
Manage legal aspects of integration processes for acquired companies
Commercial & Operations Support
Draft, review, and negotiate commercial agreements including software licensing, SaaS agreements, and vendor contracts
Provide legal support for customer agreements and partnership arrangements
Advise on corporate governance matters and compliance issues
Support employment law matters and HR initiatives
Assist with intellectual property matters including software licensing and IP management / protection
General Corporate Support
Maintain corporate records and ensure compliance with corporate formalities
Provide legal guidance on regulatory compliance matters
Collaborate with business teams to identify and mitigate legal risk
REQUIRED/MINIMUM QUALIFICATIONS:
Juris Doctor (J.D.) or Bachelor of Laws (LL.B./LL.L.) from an accredited law school
Active admission to practice law in good standing
4-7 years of legal practice experience
A combination of law firm and in-house legal experience preferred

Technical Knowledge
Software licensing agreements and SaaS business models
Commercial contracts (vendor agreements, partnership arrangements, customer
agreements)
Corporate governance and compliance frameworks
Employment law and HR-related legal matters
Intellectual property management and protection
M&A transaction documentation and processes
