Job Description
Reporting to the Vice President and Assistant General Counsel for Canada, the individual will provide legal expertise, guidance and counseling to Aramark’s business units in Canada. In particular, they will be the primary legal support for Aramark’s Remote business. Support will be provided to sales, operations, human resources, finance, and information technology groups. The individual will also work with various legal counsel in the United States and Internationally as required.Job Responsibilities
Providing the primary legal support to the Remote business for the creation and maintenance of Indigenous relationships and the services the business provides in their communities which includes:
Negotiation, drafting and communication of advice related to partnership structures and other agreements and other commercial documents with Indigenous communities
Negotiation, drafting and communication of advice related to joint venture structures and agreements and other commercial documents with Indigenous communities
Negotiation, drafting and communication of advice related to service and supplier contracts
Advising on request for proposal responses and preparing written responses to legal agreements as required
Reviewing agreements and advising on the legal position related to any issue raised by any Remote or functional business lead
Providing legal support for the growth and maintenance of other lines of business and the related supply chain to manage the provision of services, which includes:
Negotiation, drafting and communication of complex commercial agreements and other commercial documents (including agreements with both clients and suppliers) in other areas of the business as needed
Advising on request for proposal responses and preparing written responses to legal agreements as required
Reviewing agreements and advising on the legal position related to any issue raised by any other line of business or functional business lead
Providing advice and counseling on other legal issues, including:
Employment law such as researching caselaw and legislation and support or oversight for investigations
Research and advice with respect to compliance with health and safety laws and litigation risk
Reviewing, revising and advising on compliance with corporate policies
Other regulatory matters
Providing advice and legal support for acquisitions, including:
Conducting due diligence
Drafting letters of intent
Negotiating and drafting transaction documents
Integration of the acquired corporation (advise on billing, addresses changes, corporate filings, transferred employees, and transferred contracts)
Qualifications
Excellent academic credentials from a post secondary educational institution
Minimum 1-4 years’ experience in a top law firm and/or sophisticated corporate legal department
Experience, background or interest in transactions that support Indigenous communities
Experience in handling complex commercial legal matters
Law degree and current qualification in Canada
