As a member of the Board of Directors, you will play a pivotal role in shaping the strategic direction, governance, and long-term sustainability of Elexicon Energy. This is a high-impact leadership position that requires sound judgement, industry expertise, and a commitment to public accountability.
Board Directors serve as stewards of the organization, ensuring that it’s operations align with regulatory requirements, community values, and industry best practices. You will contribute to the oversight of financial performance, risk management, and strategic initiatives, while fostering a culture of transparency, innovation, and ethical governance.
This role demands a forward-thinking mindset, the ability to navigate complex regulatory environments, and a deep understanding of the volving energy landscape in Ontario. Directors are expected to bring independent perspectives, challenge assumptions constructively, and collaborate effectively with fellow board members and executive leadership to guide Elexicon Energy through transformation and growth.
DUTIES AND RESPONSIBILITIES
Strategic & Financial Oversight
Contributes to the approval of strategic plans that align with regulatory mandates, municipal priorities, and industry evolution.
Reviews and approves annual budgets, financial statements, capital investment plans and rate applications.
Ensures the organization maintains financial sustainability, operational efficiency, and responsible investment practices to drive returns for the organization and shareholders.
Assessing major business initiatives and ensuring alignment with the LDC’s mission, risk tolerance, and public accountability
Governance, Risk & Regulatory Compliance
Monitors organization performance against corporate scorecard, strategic objectives and regulatory benchmarks.
Ensures compliance with applicable legislation, including the Ontario Energy Board Act, Electricity Act and municipal governance standards
Oversees enterprise risk management, internal controls, and audit processes to safeguard organizational integrity
Promotes ethical conduct, transparency, and accountability across all levels of the organization
Board Engagement & Stakeholder Leadership
Attends and contributes meaningfully to Board and Committee meetings, including finance, audit, governance, risk and human resources.
Collaborates with fellow directors and executive leadership to support informed, balanced, and forward-looking decision making.
Represents Elexicon Energy in interactions with regulators, municipal officials, customers, and community stakeholders, fostering trust and credibility.
Support initiatives that enhance public engagement, customer satisfaction and community resilience.
Commits to ongoing professional development and promoting a culture of innovation, inclusion and continuous improvement within the board and organization.
WHAT YOU NEED TO BE SUCCESSFULL
Core Competencies
Extensive and proven experience in the energy sector, with knowledge of electricity distribution, utility operations, and regulatory frameworks (e.g., Ontario Energy Board).
Senior-level business leadership experience, ideally within regulated industries, with a track record in strategic planning and operational oversight.
Strang financial and commercial acumen, including experience in reviewing budgets, financial statements, capital plans, and investment strategies.
Professional designation such as CPA, or equivalent financial credentials, is considered an asset.
Governance Expertise
Prior service on Boards or governance bodies, preferably in the public or energy sector.
Familiarity with Director’s responsibilities under the Ontario Business Corporations Act or another relevant legislation.
Completion of recognized governance education programs (e.g., ICD.D, DEAP) is preferred.

Strategic thinker with the ability to assess complex issues and contribute to long-term organizational planning
High ethical standards, sound judgement, and a demonstrated commitment to fiduciary responsibility
Strong interpersonal and communication skills, with the ability to collaborate effectively and represent Elexicon with professionalism

Awareness of Environmental, Social, and Governance (ESG) principles and their relevance to utility operations.

MINIMUM REQUIREMENTS
Minimum 10 years of progressive leadership experience with energy sector i.e. electricity distribution, utility operations, energy policy or regulatory affairs
Proven track record in managing or advising operational businesses, preferably within regulated or capital-intensive industries.
Expertise in financial management, investment analysis, budgeting and oversight of complex commercial transactions.
Prior experience serving on boards, advisory committees or governance bodies.
Ability to interpret and apply relevant legislation, policies and compliance frameworks
Strong analytical, strategic and inter-personal communication skills, with an ability to collaborate, challenge constructively and contribute to consensus-driven decision-making
