Hamilton ETFs is one of Canada’s fastest growing exchange traded fund (“ETF”)
providers. Based in Toronto’s financial district and with over $9 billion in ETF
assets under management, we are seeking a motivated individual to join our
entrepreneurial team of experienced and talented professionals.
Here’s what you will do as Law Clerk, Corporate & Securities:
Reporting to the Chief Compliance Officer, the Law Clerk will work closely with
the Senior Executive, Compliance, and the ETF Operations teams to ensure the
firm meets its legal, regulatory, and governance obligations. The incumbent will
also assist in maintaining strong relationships with regulators, external
counsel, and service providers to support ongoing compliance and corporate
governance objectives. Your responsibilities will be diverse, covering several
aspects of legal and regulatory affairs, including:
- Working with external counsel to prepare, file, and maintain securities
regulatory documents, including continuous disclosure filings (SEDAR+),
prospectus, ETF Facts, and ETF updates, exemptive relief applications, and
other regulatory submissions;
- Assist with compliance monitoring, maintenance of regulatory calendars, NRD
records, and meeting filing deadlines under applicable securities
legislation;
- Support the preparation of materials for regulators, exchanges, industry
organizations, and other stakeholders;
- Be responsible for the filing, reviewing, and maintenance of Personal
Information Forms (PIFs) with the relevant exchanges;
- Maintain Legal, Compliance, and Tax-related subscriptions to ensure access to
the most up-to-date rules and regulations;
- Draft and organize board and committee materials, including agendas,
resolutions, and minutes;
- Support Independent Review Committee (IRC) meetings by organizing meeting
materials, coordinating meeting arrangements, taking minutes, and maintaining
accurate records in compliance with NI 81-107 and other regulatory
requirements;
- Working with external counsel to maintain corporate records and minute books
for the company and its subsidiaries;
- Prepare and file corporate documents with federal and provincial registries,
including annual returns and notices of change;
- Assist in reviewing and maintaining agreements, including service provider,
licensing, and non-disclosure agreements;
- Manage document templates and filing systems to ensure easy retrieval and
compliance;
- Coordinate with internal teams, external counsel, and regulators to track
action items and deadlines;
- Support special legal and compliance projects as assigned.
Here’s what you’ll need to be successful:
- Law Clerk diploma or equivalent post-secondary education in legal
administration;
- Minimum 3 years of experience in a securities or regulatory law environment
(asset management or financial services experience preferred);
- Strong knowledge of applicable Canadian securities regulations (NI 81-102, NI
41-101, NI 81-106, NI 81-107, etc.);
- Proficiency in SEDAR+ and Microsoft Office (Word, Excel, PowerPoint);
- Excellent written and verbal communication abilities;
- Ability to manage multiple priorities under tight deadlines;
- Professionalism, discretion, and sound judgment;
- Exceptional organizational skills with impeccable attention to detail and
accuracy;
- A team-oriented mindset, with an interest and aptitude to add value outside
of core responsibilities;
- Able to maintain a high level of integrity and discretion in handling
confidential information;
- Willingness to work flexible hours, including evenings and occasional
weekends;
- A commitment to diversity, equity, and inclusion, mutual respect, and the
