KMB Law is seeking a Corporate Associate with 3 - 5 years of experience in practicing Corporate/Commercial, Mergers \& Acquisitions and Franchising Law for its Burlington office. Position Overview:
Reporting to the Partner or designate, the Corporate Associate will support the corporate and franchising departments by performing a variety of substantive, complex and routine legal transactions. They are responsible for managing the process from start to finish and assigning work as appropriate.
The Corporate Associate will also be responsible for managing, developing and maintaining the relationship with the Corporate and Franchising teams to meet our client's needs.
This position is located at our Burlington location. The hours of work are 9 a.m. - 5 p.m., however the successful candidate may be required to work outside of normal business hours to meet business and client needs.
Responsibilities include, among others:
- Assist Partners in managing all aspects of Corporate and Commercial and Franchising deals from start to finish focusing on Mergers and Acquisitions, business relationships, Franchise Law, and general Corporate/Commercial concerns.
- Prepare documentation related to Mergers and Acquisitions, Franchising and Commercial needs.
- Assist with negotiating and drafting of shareholder and numerous other ownership documents including but not limited to reorganization documents.
- Participate in the education of articling and summer students and lawyers within the firm, responding to inquiries as necessary.
- Other duties as assigned.
Qualifications:
- Minimum of three (3) years' experience in corporate law and be able to manage files with little supervision.
- Strong business acumen.
- Ability to work independently as well as cohesively with supervising lawyers and other employees as part of the team.
- Excellent attention to detail.
- Excellent oral and written communication skills and strong interpersonal skills.
- Able to work with clients directly and with minimal direction.
- Experience handling a wide range of clients, from startup, franchisors, multigenerational family business and multi-national corporations.
- Experience in drafting and negotiation of transactional documents.
- Experience in preparation of shareholder agreements, purchase and sale of business agreements, and reorganization documents.
- Experience in preparing and drafting franchise agreements and franchise disclosure documents, and coordinating the provision of franchise disclosure to prospective franchisee candidates
